These Terms of Service (the “Terms”) form a binding agreement between you (“you”, “your”, or “Customer”) and Cloakist Ltd, a company registered in England and Wales (company number 12772481) trading as Sotion (“Sotion”, “we”, “us”, or “our”). They govern your access to and use of the Sotion website, applications, and services (together, the “Service”).
By creating an account or using the Service you agree to these Terms, our Privacy Policy and our Cookie Policy. If you do not agree, do not use the Service.
1. The Service
Sotion lets you publish content from Notion as a branded website on your own domain, with optional features such as access control, custom branding, SEO controls, and analytics. We may add, remove, or change features at any time. We will give reasonable notice of material changes that adversely affect paid features.
2. Account and Eligibility
You must be at least 16 years old (or the age of digital consent in your country) to use Sotion. By creating an account you confirm that:
- The information you provide is accurate and current.
- You will keep your credentials confidential and are responsible for all activity under your account.
- You will tell us promptly at [email protected] if you suspect any unauthorised access.
For team accounts, the person who creates the workspace is responsible for managing members and ensuring each member agrees to these Terms.
3. Your Content
You retain all rights in the Notion content, domain names, images, and other material you publish through Sotion (“Customer Content”). You grant us a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, display, and process Customer Content solely as required to operate the Service.
You are solely responsible for Customer Content and for ensuring you have the rights to publish it, that it complies with applicable law, and that it does not infringe anyone else’s rights.
4. Acceptable Use
You must not use Sotion to publish, store, or transmit content that:
- Is unlawful, defamatory, harassing, threatening, or invades another’s privacy.
- Infringes any intellectual property, trade secret, or other proprietary right.
- Contains malware, exploits, or anything designed to disrupt or gain unauthorised access to systems.
- Sexually exploits or endangers minors, or depicts non-consensual sexual content.
- Incites violence, terrorism, or discrimination on the basis of protected characteristics.
- Promotes or facilitates fraud, phishing, pyramid schemes, or other deceptive practices.
- Distributes unsolicited bulk messages (spam) or scrapes the Service in violation of these Terms.
You also must not (a) reverse engineer, decompile, or attempt to extract the source code of the Service except as permitted by law; (b) probe, scan, or test the vulnerability of the Service without authorisation; (c) resell or sublicense the Service; or (d) use the Service to build a competing product.
We may investigate suspected breaches, remove offending content, and suspend or terminate accounts. We may also report unlawful activity to the relevant authorities.
5. Copyright and Takedown
If you believe content published through Sotion infringes your copyright or other intellectual property right, please send a notice to [email protected] including:
- Your contact details and signature (electronic is fine).
- Identification of the work allegedly infringed and the URL where it appears.
- A statement that you have a good faith belief that the use is not authorised by the rights holder, its agent, or the law.
- A statement, under penalty of perjury, that the information in your notice is accurate and that you are authorised to act on behalf of the rights holder.
We will respond to valid notices in a reasonable time and may disable access to the disputed content. Repeat infringers will have their accounts terminated.
6. Custom Domains
Sotion lets you connect a domain you own or have permission to use. You are responsible for registering, renewing, and complying with the terms of your domain registrar. You authorise us to request and renew SSL certificates for that domain on your behalf so that we can serve your site securely.
We are not responsible for downtime caused by misconfigured DNS, registrar suspensions, or third-party outages outside our control.
7. Plans, Fees and Billing
Free plans are offered subject to the limits set out on our pricing page. Paid plans are billed in advance on a recurring basis (monthly or yearly, as selected) and renew automatically until cancelled. All fees are exclusive of taxes, which you are responsible for paying.
Payments are processed by Stripe. By providing payment details you authorise us (via Stripe) to charge the applicable fees on each renewal date until you cancel.
If your payment fails, we may suspend or downgrade your account after reasonable attempts to collect. We may change pricing on at least 30 days’ notice; changes apply from your next renewal.
8. Refunds and Cancellation
You may cancel a paid subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period and you keep access until then.
Except where required by law, fees are non-refundable. If you believe you have been billed in error, contact us at [email protected] within 14 days of the charge and we will review your request in good faith.
9. Suspension and Termination
We may suspend or terminate your account if you breach these Terms, if required by law, or if your account creates a security, legal, or operational risk. Where practical we will give notice and an opportunity to fix the issue first.
You may close your account at any time. On termination we will stop serving your published sites and will delete or anonymise your data in line with our Privacy Policy, except where retention is required by law.
10. Our Intellectual Property
The Service, including its software, design, trademarks, and documentation, is owned by Cloakist Ltd and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service while these Terms are in force. No other rights are granted.
Feedback you send us is given without restriction; we may use it to improve the Service without owing you anything.
11. Third-Party Services
Sotion depends on third-party providers such as Notion, Supabase, Cloudflare, Stripe, and Resend. Their performance affects ours, and their own terms apply when you use them. We are not responsible for content, services, or websites operated by third parties that you link to or integrate with.
12. Warranties and Disclaimer
We will provide the Service with reasonable skill and care. We do not warrant that the Service will be uninterrupted, error-free, or free from security vulnerabilities. To the maximum extent permitted by law, the Service is provided “as is” and “as available”, and we disclaim all other warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
13. Limitation of Liability
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
Subject to the above, neither party is liable for any indirect, incidental, special, or consequential loss, or for loss of profits, revenue, data, goodwill, or anticipated savings.
Subject to the above, our total aggregate liability arising out of or in connection with these Terms is limited to the greater of (a) the fees you paid us in the 12 months immediately before the event giving rise to the claim, or (b) GBP 100.
14. Indemnity
You agree to indemnify and hold us harmless from any claim, loss, or expense (including reasonable legal fees) arising out of Customer Content, your use of the Service in breach of these Terms, or your breach of any law or third-party right.
15. Changes to the Terms
We may update these Terms from time to time. If we make material changes we will give at least 30 days’ notice by email or by posting a notice in the Service. Your continued use after the effective date means you accept the new Terms. If you do not agree, stop using the Service and cancel your subscription.
16. General
Governing law and jurisdiction
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute, although we retain the right to bring proceedings in any jurisdiction where you reside or do business.
Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms (for example, on a sale of our business) on notice to you.
Force majeure
Neither party is liable for failure to perform caused by events beyond its reasonable control, including internet outages, denial of service attacks, acts of government, or natural disasters.
Severability
If any provision of these Terms is held unenforceable, the rest remains in full effect.
No waiver
A failure to enforce any provision is not a waiver of the right to enforce it later.
Entire agreement
These Terms, the Privacy Policy, the Cookie Policy, and any plan or order form you sign with us are the entire agreement between us and supersede prior agreements on the same subject.
